These terms govern your use of the Verba desktop application and this website (together, "Verba"). By downloading or using Verba, you agree to them. If you don't agree, please don't use Verba.

Who can use Verba

Verba is a professional tool for counselors, therapists, clinicians, and trainees. You must be able to form a binding agreement to use it.

Your licence

We grant you a personal, non-exclusive, non-transferable licence to install and use Verba for your own professional work. You may not resell or redistribute Verba, and you may not reverse-engineer the application except to the extent the law gives you that right.

Verba includes third-party open-source components — including its speech-recognition and speaker-separation models — which are licensed to you under their own terms (see "Third-party software and models" below); nothing in these terms limits the rights those licences give you.

Beta software

Verba is currently in beta and provided free of charge. It may change, and features may be added, altered, or removed. We don't guarantee uninterrupted availability during the beta. Because beta software can have bugs that lose data, please export and keep copies of transcripts that matter to you.

Recording consent is your responsibility

Verba transcribes recordings that you provide. You are solely responsible for obtaining any consent required to record and transcribe a session — including your clients' informed consent — and for complying with the laws, professional ethics, and institutional policies that apply to you. Do not use Verba to process recordings you are not authorized to process.

Under applicable privacy law, you are the controller of any personal data in your recordings and transcripts; we never receive that data and act as neither its controller nor its processor.

Verba is a tool, not a clinician

Verba produces machine transcripts. It does not provide medical, psychological, or legal advice, is not a medical device, and makes no clinical decisions. Automatic transcription can contain errors — including misheard words and misattributed speaker labels — so you are responsible for reviewing transcripts for accuracy before relying on them, and for all clinical judgments and records. Verba is not intended to diagnose, treat, or prevent any condition.

Your content

Your recordings, transcripts, and edits are yours. They are stored on your own device; we claim no rights over them and have no access to them.

Privacy

How we handle the limited personal data we do process is described in our Privacy Policy.

Acceptable use

Don't use Verba unlawfully, to infringe others' rights, to process content you have no right to process, or to disrupt or misuse the software or this website.

Intellectual property

Verba, including the application, this website, and their design, is owned by us or our licensors and protected by intellectual-property laws. These terms don't transfer any of those rights to you beyond the licence above.

Third-party software and models

Verba ships with open-source components, including the Whisper large-v3 speech-recognition model (MIT licence, used via faster-whisper) and an open speaker-separation model, along with other open-source libraries. These remain the property of their respective authors and are provided under their own licences, copies of which are included with the app. Nothing in these terms restricts the rights those licences grant you.

Fees

Verba is free during the beta. If we introduce paid plans in the future, we'll give notice, and you can choose whether to continue.

Disclaimer of warranties

Verba is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of transcription, and non-infringement, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, or consequential damages, or for loss of data or profits, arising from your use of Verba. Our total aggregate liability for all claims relating to Verba will not exceed the amount you paid us for it in the 12 months before the claim arose or, if you have paid nothing, [modest fixed amount — counsel to set]. Nothing here excludes liability that cannot be excluded by law.

Indemnity

You agree to indemnify us against claims arising from your misuse of Verba or your breach of these terms, including any failure to obtain required recording consents.

Termination

You may stop using Verba at any time. We may terminate your licence if you breach these terms. Provisions that by their nature should survive termination will survive.

Changes to these terms

We may update these terms as Verba develops. We'll update the date above and, for material changes, provide more prominent notice. Continuing to use Verba means you accept the updated terms.

General

If part of these terms turns out to be unenforceable, the rest still applies. These terms are the entire agreement between us about Verba. You may not transfer your rights under these terms to someone else; if we don't enforce a provision, that isn't a waiver of it.

Governing law

These terms are governed by the laws of [jurisdiction — to be confirmed], without regard to conflict-of-laws rules. [Venue for disputes to be confirmed.]
